Preamble

These Terms of Service (“Terms”) constitute a legally binding agreement between the user (“User”, “Vessel”, “Contractor”, “Management Company”, or “Account Holder”) and Maritime Bidding Network LLC, a limited liability company organized under the laws of the State of Florida, United States (“MBN”, “Company”, or “Platform”).

By accessing or using the Platform, Users agree to comply with and be legally bound by these Terms.

If a User does not agree to these Terms, the Platform must not be accessed or used.

1. PLATFORM ROLE AND DESCRIPTION

Maritime Bidding Network LLC operates a digital infrastructure platform designed to facilitate structured maritime procurement and contract management workflows.

The Platform may provide tools enabling Users to:

  • publish tenders
  • submit bids
  • communicate between contracting parties
  • exchange documentation
  • coordinate project execution
  • record workflow activity
  • maintain auditable operational records
  • organize dispute-related documentation

MBN operates solely as a technology platform provider.

MBN does not act as:

  • a contracting party
  • a broker
  • a project manager
  • a financial intermediary
  • a guarantor of contractual performance

All contracts entered into through the Platform exist solely between the relevant contracting parties, including but not limited to Vessel owners, Contractors, and Management Companies.

MBN does not participate in the negotiation, execution, or enforcement of contractual agreements between Users.

Users acknowledge that the Platform functions as a recordkeeping and workflow coordination system, not as a party to any underlying commercial agreement.

2. USER ELIGIBILITY AND ACCOUNT RESPONSIBILITIES

Users must be at least eighteen (18) years of age and must possess the legal authority to enter into binding agreements.

Entities registering on the Platform represent and warrant that the individual creating or managing the account has the authority to act on behalf of the entity.

Users agree to provide accurate and complete registration information and to maintain the confidentiality of account credentials.

Users are responsible for all activities conducted under their account.

MBN shall not be liable for losses arising from unauthorized account access resulting from compromised credentials or user negligence.

3. PLATFORM GOVERNANCE AND ROLE ENFORCEMENT

The Platform may enforce structured operational governance rules that determine permissible actions within the system.

Such rules may rely on factors including but not limited to:

  • assigned user roles
  • delegated authority
  • contractual stage or workflow status
  • system security requirements

Users acknowledge that automated enforcement of these governance rules constitutes valid system operation.

MBN reserves the right to restrict or deny platform actions where system governance rules are not satisfied.

4. PAYMENTS AND ESCROW

MBN does not hold, transmit, process, or manage funds on behalf of Users.

Financial settlements arising from contracts created through the Platform occur:

  • directly between contracting parties; or
  • through independent third-party financial institutions or escrow providers.

Where escrow services are used, such services are provided by independent institutions including but not limited to institutional escrow providers.

MBN does not control or guarantee the performance of any financial service provider.

MBN shall not be responsible for:

  • payment failures
  • banking errors
  • escrow delays
  • financial disputes between Users

All financial obligations remain governed exclusively by agreements between the contracting parties.

5. USE OF ARTIFICIAL INTELLIGENCE

The Platform may incorporate artificial intelligence technologies to assist with certain platform functions.

Such functions may include:

  • document parsing
  • data extraction
  • document summarization
  • information classification
  • audit log organization
  • dispute documentation support

Artificial intelligence tools provided through the Platform function solely as assistive analytical tools.

AI-generated outputs:

  • do not constitute legal advice
  • do not constitute binding determinations
  • do not replace human decision-making

All final decisions related to contractual interpretation, dispute resolution, and legal responsibility remain exclusively within the authority of the Users or appropriate human decision-makers.

MBN does not permit autonomous artificial intelligence systems to make binding contractual or dispute decisions.

Users remain responsible for verifying the accuracy of AI-generated outputs.

6. USER CONTENT AND DOCUMENTS

The Platform allows Users to upload documents and materials related to maritime procurement and contract execution.

Such materials may include, but are not limited to:

  • contracts
  • invoices
  • technical drawings
  • engineering documentation
  • certifications
  • warranty documentation
  • parts and labor conditions
  • project communications

Users retain ownership of materials they upload.

By uploading materials, Users grant MBN a limited license to store, process, and display such materials solely for the purpose of operating the Platform.

Users represent and warrant that they possess all rights necessary to upload such materials.

MBN does not verify the authenticity, legality, accuracy, or ownership of uploaded materials.

Users remain solely responsible for the content they submit.

7. DISPUTE DOCUMENTATION INFRASTRUCTURE

The Platform records operational data associated with procurement and contract execution activities conducted through the system.

Recorded data may include:

  • tender publications
  • bid submissions
  • communications between parties
  • uploaded documentation
  • workflow events
  • milestone confirmations
  • audit logs of platform activity

MBN provides tools designed to assist Users in documenting and organizing disputes arising from contracts executed through the Platform.

These tools may include:

  • dispute documentation interfaces
  • audit record organization
  • timeline reconstruction of platform activity
  • document repositories

MBN's role in disputes is limited to providing technological infrastructure that preserves and organizes relevant records.

MBN does not act as:

  • a judge
  • an arbitrator
  • a mediator

MBN does not determine liability or contractual responsibility.

Users acknowledge that Platform records may be used by contracting parties as documentary evidence in arbitration or legal proceedings.

MBN may disclose platform records when required by law, court order, or lawful governmental request.

MBN strongly encourages Users to resolve disputes directly and locally between the contracting parties whenever possible.

8. WORKROOM AND WARRANTY TIMERS

The Platform may provide timer functionality within certain operational modules including the Workroom and Warranty Room.

These timers exist solely as informational workflow tools intended to assist Users in monitoring project activity and coordinating operational tasks.

Timers displayed within the Platform:

  • do not represent verified labor hours
  • do not constitute official timekeeping records
  • do not determine billing obligations
  • do not modify contractual payment terms

MBN does not operate as a labor tracking system or payroll system.

Financial obligations remain governed exclusively by contractual agreements between Users.

Timer information must not be relied upon as authoritative evidence of labor performed or compensation owed.

9. MILESTONES AND DELIVERABLES

The Platform may allow Users to define and track project milestones.

Milestones function as structured workflow checkpoints designed to organize project progress.

Unless expressly stated in the underlying contract between Users, milestone entries within the Platform serve as informational workflow references only.

Completion of a milestone requires explicit approval by the relevant contracting party.

The passage of time, expiration of timers, or automated workflow progression does not constitute milestone acceptance.

Milestone records do not independently authorize payment, invoice approval, or escrow release.

Users remain responsible for ensuring milestone documentation accurately reflects the terms of their contractual agreements.

10. PLATFORM STATISTICS

The Platform may display aggregated operational metrics including but not limited to:

  • tenders published
  • bids submitted
  • awarded contracts
  • disputes documented or reported as resolved between Users

These statistics are provided for informational purposes only and do not constitute guarantees regarding platform outcomes or contractual performance.

11. INTELLECTUAL PROPERTY RIGHTS

All intellectual property associated with the Platform is the exclusive property of Maritime Bidding Network LLC or its licensors.

This includes but is not limited to:

  • software code
  • platform architecture
  • interface designs
  • trademarks
  • logos
  • documentation

Users receive a limited, non-exclusive, non-transferable license to access and use the Platform.

Users may not copy, reverse engineer, modify, distribute, or reproduce any portion of the Platform without written authorization.

12. ACCOUNT TERMINATION

MBN reserves the right to suspend or terminate user accounts that violate these Terms or pose security risks.

Termination may occur for reasons including but not limited to:

  • fraudulent activity
  • misuse of the Platform
  • violation of applicable laws

Upon termination, access to the Platform may be revoked immediately.

13. INDEMNIFICATION

Users agree to indemnify and hold harmless Maritime Bidding Network LLC from any claims, damages, losses, or expenses arising from:

  • misuse of the Platform
  • violation of these Terms
  • disputes arising from contracts between Users

14. LIMITATION OF LIABILITY

To the maximum extent permitted by Florida law, MBN shall not be liable for indirect, incidental, consequential, or special damages arising from use of the Platform.

MBN’s total liability shall not exceed the total fees paid by the User to MBN during the twelve months preceding the claim.

15. FORCE MAJEURE

MBN shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including natural disasters, cyber incidents, telecommunications failures, or governmental actions.

16. SERVICE AVAILABILITY

The Platform is provided on an “as available” and “as is” basis.

MBN does not guarantee uninterrupted operation.

Temporary interruptions may occur due to maintenance, infrastructure updates, or network disruptions.

17. EXPORT CONTROL AND SANCTIONS

Users agree to comply with applicable export control laws and sanctions regulations.

The Platform may not be used by individuals or entities located in sanctioned jurisdictions or listed on restricted party lists.

MBN reserves the right to suspend accounts where use of the Platform may violate such laws.

18. BINDING ARBITRATION

Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Arbitration shall take place in the State of Florida.

19. CLASS ACTION WAIVER

Users agree that disputes shall be resolved only on an individual basis.

Users waive the right to participate in class or collective legal proceedings.

20. SEVERABILITY

If any provision of these Terms is deemed unenforceable, the remaining provisions shall remain in full force and effect.

21. ENTIRE AGREEMENT

These Terms constitute the entire agreement between Users and Maritime Bidding Network LLC regarding use of the Platform.

They supersede all prior communications or agreements relating to the Platform.

LINGUISTIC INTERPRETATION CLAUSE

In the event of any discrepancy between language versions of these Terms, the English version shall prevail.
